We can hear our clients now! How possibly could working capital (isn’t that cash flow?) be bad for my firms financial health. Let’s talk about that.

The technical financial folks define working capital as a very basic calculation that even the non financial business owner can do - simply deduct your current liabilities from your current assets ( from your balance sheet statement) and, voila ! Congratulations, you have working capital. Hopefully that number is a positive number, because when it’s negative you're technically insolvent and that's a subject and solution for another day!

Anyway, our working capital number is positive - that’s good, right. Not necessarily, and that’s the premise of our info we share here , because if you have positive working capital your funds are tied up in receivables, inventories and pre paid items .

It is therefore very important to understand what makes up working capital, how you can monetize or cash flow it, and most importantly, but often totally overlooked , how you can measure business capital and working capital .

The essence of measuring your working capital revolves around turnover, days sales outstanding, inventory turns, and payables days outstanding.

The good news is that you can very easily calculate and track these measurements, and we can virtually guarantee they will better assist you to understand why your investment in working capital is very much a teeter totter of good news/bad news.

Do you like to travel?
Money does also, and considers how long it takes for a dollar to travel through your company. From the day you place an order, purchase product, pay for product, bill a receivable, and yes, collect that receivable that total cycle can be easily 200 days, if note more. That’s a lot of travel, so you hopefully can see our premise here that your investment in your working capital accounts is not necessarily a great thing.

Your business is composed primarily of inventory, receivables, and payables, (also fixed assets). We therefore strongly suggest to clients that they understand the turnover and overall return they are getting from these key asset accounts.

You would understand your working capital situation somewhat better if it were not for those pesky issues that you can’t control - business owners and financial managers recognize them well and run into them every day. They are sales growth and decline, your fixed costs that you have to pay and manage no matter what, and any financial distress you may be experiencing from past external factors - i.e. a bad year, etc,

The holy grail of business capital and working capital financing is when you have strong controls on internal asset turnover and at the same time you have access to external working capital via bank lines, asset based lending facility, loans, grants, etc.

We constantly remind clients that if they are turning over their working capital accounts more efficiently all the time its in effect a measure of the true success of your company - think of it, you're buying things, paying supplies on time, and customers are paying you on time and ordering more goods and services. A quick tool for measuring your progress in this area is simply to take your receivables days and inventory days, subtract your payables days outstanding, and if that number is improving , or going down you are winning the 'working capital is bad for your health' premise we have presented.

As a Canadian business owner you are both granting credit and requesting credit (customers and suppliers respectfully). Understanding business capital in this manner will allow you to finance better internally and borrow via banks, finance firms, asset based lenders, etc.

What is the sale leaseback – very simply speaking it’s the re financing of equipment you own under a lease strategy, so it is not a loan per se. There is one key accounting issue that we should point out though, and it’s simply that if you refinance that equipment and the financing is more than you are carrying the asset for on your balance sheet (you have depreciated the asset over time) then the excess you receive over book value might be taxed as a profit. Bottom line, talk to you accountant on that point.

Implementing a sale leaseback strategy for your Canadian firm is easy – along with the normal business lease application you will need to generate a bill of sale to the lease company that transfers title back to them and title will once again revert back to your firm when the lease is repaid.

Depending on the size of your transaction, or the number of assets involved it might be advisable to get an appraisal , in fact one might ever be a requirement, as opposed to a ‘ nice to have ‘. Anyway, our point is not that, it's simply that at a certain point you cannot grow your business any more without debt. No one likes taking on too much debt.


A better solution? An asset based working capital facility. This type of facility adds no additional debt to your firm but gives you maximum liquidity for receivables, inventory, and even equipment you already own.

So, we promise, no more technical financial discussion lets discuss the financing you need and the challenges you have. As we stated it is ironic that many times the stress of managing working capital is related to success - you have new orders, contracts, the need to build up inventory, or perhaps you have granted special payment terms to new or existing customers.

At the same time your firm has its own obligations to suppliers and term creditors such as the bank or equipment lenders, etc.

We can say that the problem is very obvious when you have suppliers that want to get paid either up front or in 30 days, but you have inventory buildup needs and your customers are paying you in closer to 60 days, despite your terms of 30 days.

The traditional solutions are always too obvious, Canadian chartered banks for term loans or operating facilities, or even consideration to giving up some equity in your ownership.


Those are solutions that are either desirable by many of our clients. The reality? Financial conditions and lack of collateral prohibit in many cases traditional financing.

Therefore those nontraditional, but getting less nontraditional solutions look more and more attractive every day. By sacrificing one of two points of gross margin true working capital asset based lending facilities can provide you with all the cash flow you need when it comes to financing inventory at aggressive loan to value, 90% of receivables, and , as we said in some cases equipment and even purchase orders .

So what is the final effect of a true working capital facility - it's financially much better than taking on term debt or selling equity ownership, etc. We have just shown you that by maximizing a true working capital facility you have increased sales, increased profits, and have not taken on additional debt or given away any portion of your equity stake.

We guess they call it ' crunch time '. As far as you are concerned your chances of success are excellent... now it's time to find the business financing you need for your franchise... from lenders that provide the funds you need.




Let's ensure you've got the basics covered, starting with the amount of funding you need, and solutions for each part of that capital. I guess we're saying also that in many cases you need to potentially cobble together a solution from a number of financing sources. It's somewhat rare that one franchise lending solution is going to cover all your financing needs, simply because we're talking about different classes of assets.



So what makes up a franchise structure? Typically there are several components - the franchise fee itself, potentially inventory, and equipment and leaseholds. Any business, whether its a franchise or not requires working capital for ongoing operations ; and remember also that a key component of that working capital are the royalty fees that you pay back every month to the franchisor . Typically royalty fee arrangements that we see all the time are in the 8% range, but that varies per size and type of franchise of course.



In order to determine your strategy and chances of success you have to spend some time checking one specific person out ...that’s YOU! So that should be easy to do, right? Your ability to position your personal finances and your background and experience plays a huge part in franchise approval. One of the documents you'll need is a PNW statement - a statement of personal net worth. A simpler definition - what you have; what you owe!



Your PNW form is assessed as a key part of the credit approval decision, in conjunction with your personal credit history. Remember that as successful or well known as your franchisor might be... from a lenders perspective you are still essentially a ' start up ‘. If you're buying an existing franchise, we guess you could call it a re-start!



In Canada, similar to the U.S. your personal ' score' at the credit bureau has to be over a certain threshold. The entire system is run on a scoring system with 800 being perfection at the credit bureau. So what’s a satisfactory score - we'll share with you that in Canada the majority of lenders, of all types of business and personal financing rely on a score in the 650 range. And trust us... higher is better. This whole exercise also allows you to determine what amount of capital you can put into the business, as it's not possible to get 100% financing for all your franchise financing needs - typically 10- 40% should come from yourself.



In assessing your overall financing situation take into consideration that the lender will quite often being factoring in a ' worst case' scenario , one that assumes that perhaps your sales and profit and cash flow ( out of which you repay your franchise loan ) might not be as optimistic or real as you have positioned

It should be clear, understandable, at the same time positioning you and the industry in a positive light. We advise clients that a key goal here is simply realistic financial projections, and don’t forget to include repayment of franchise debt! We're often dismayed by how much none financially oriented clients spend for a business plan - a slick proper one should not cost you more than 1k in our opinion.

How to Get Your Canadian Business Equipment Financing Lease Approved













What If You Understood How Equipment Lease Financing Works ? Now You Do!



Information on equipment lease financing in Canada . Asset financing under the right terms and rates helps businesses grow in today's ultra competitive environment




What is my rate?' is a question I am often asked by customers when they work with us with respect to equipment and lease financing. They are surprised when I tell them that they get to pick their own rate! (All customers want the lowest rate!)

I am not trying to be facetious when we make that statement. What we are saying is that the over all credit quality of a customer, as perceived by the lender ( that's important!) is in fact set by the customer, thereby driving a final approval on rate, term and structure of the proposed financing request.

The role of the customer, or their trusted advisor is to understand the basic credit information requirements and how the overall risk to the customer and their industry will be perceived by the lender. The irony of a lot of business leasing is that the industry for the most part used historical analysis to project future ability to pay. That is a difficult concept for the customer to handle more often than not - as an example the customer may have lost some money last year, driving a negative cash flow figure. Prospects have improved, new orders are coming in, and yet the business has a problem in getting new financing.

The customer needs to ensure that the information and ' story ' make the transaction become more ' approvable'.

Critical categories in the information submission by the company are as follows:

Length of time in business Personal credit history of the owners Relationships with other financial institutions Quality of the financials (Some customers submit balance sheets that don't balance!) Additional collateral available if necessary Summary of key financial info such as depreciation, cash flows Positive focus on management and its background and experience

If the customer is qualified to make such a submission a solid package as per our list noted above should lend itself towards an approval at current market rates and structures. If the customer feels they are not properly qualified to make such a submission they are strongly encouraged to used a qualified intermediary who knows the industry and, more importantly, knows the specific weighting given by a lender to the above noted submission requirements.

The amount of information required around each component is more often than not determine by the size of the transaction or the lenders total exposure to that customer. In many cases small ticket transactions (those under $ 25,000.00) are adjudicated via a credit application and public reporting sources such as Equifax or Dun and Bradstreet. Typically 60-70% of all small ticket transactions are approved.

In summary, customers who want to get a prompt and of course positive lease approval should focus on providing a clean package of required information that will ensure a prompt approval based on specific industry requirements around the transaction size and asset type. Knowing that the lender will focus on future potential of the firm, the management experience, and the collateral asset are valuable data points for any business seeking a business equipment financing lease.

Stan has over 40 years of business and finance executive experience. He has been recognized as a credit/financial executive for three of the largest technology companies in the world; Hewlett-Packard, Digital Equipment and Cable & Wireless. Stan has had in depth, hands on experience in assessing and evaluating thousands of companies that are seeking financing and expansion. He has been instrumental in helping many companies progress through every phase of financing, mergers & acquisitions, sales and marketing and human resources.
