Carrying On Without Cash Flow Is Not An Option ! Analysis and Solutions For Canadian Business

? That's not an option for Canadian business owners and financial managers. That's why the analysis of their cash and working capital needs, in the context of solutions available is so critical in today’s business environment.

So are we all in agreement? We mean of course that no company has the ability to on a long term basis operate successfully without cash. That shortage is often the reasons why many companies fail.

However, the balance sheet and the income statement, as we always preach, dont necessarily tell you the full story of your company's goings on! A cash flow statement, that’s the third part of every financial statement package will, however, truth be told you can perform a fair bit of solid analysis way before your accountant or your accounting system delivers that document to you.

So why do you want to be so attuned to that cash flow anyway. Simply because whether it’s the short, intermediate or long term it’s a true measure of your solvency. And that solvency is what keeps your creditors and lenders and suppliers either happy or dissatisfied with your payment ability.

In more sophisticated firms a real measure of cash flow is often ' free cash flow '. Simply speaking it’s the true cash flow calc which then subtracts your capital expenditures to come up with that ' free cash flow '. Investors in public companies look at that one a lot, and quite frankly since the small to medium sized business in Canada doesn’t pay dividends or have to report earnings and cash flow we dont really consider that one quite relevant in the context of today’s discussion .

So what is important then? Several other great tools area available. Just one of those is the cash return on sales analysis tool. Take your cash flow from operations and divide that by your net sales over that same time period. Let's say the number works out to 10%. What does that mean? Simply that 10% of the sales you generate provide cash to the company. At the end of the day the number is relative to your company because it tells you how efficient you are in turning sales into cash.

Another great tool to check out is current cash debt coverage, which we'll leave for another day’s discussion.

At the end of the day there are ultimately 5 reasons why companies fair - they have too much debt, they are caught in a vicious cash flow cycle, they have current assets that aren’t turning, or fixed assets and too little capital come into play.

The motivations behind equipment leasing in Canada vary by client. The reality is, and many don't look at it this way, is that the motivators are actually economic and non economic, depending on the circumstances within each client. We find that many are surprised to hear that banks and insurance companies utilize lease finance on a very significant basis. New accounting rules in place might make it more difficult these days to achieve true off balance sheet financing - but just the lower rates and monthly payments in an operating lease, plus the ability to return, upgrade or extend alone still make this option feasible and viable for your firm .

Buying And Financing A Business Acquisition . Loans To Finance Existing Businesses

Buying and financing a business acquisition is one of the major challenges of firms in the SME (Small and medium enterprise) sector in Canada.
Unlike the big boys who have access and funds available to hire expensive talent to complete the transaction the Canadian SME business owner and financial manager has the desire to complete a transaction , but needs help and information they traditionally don't have immediate access to .

It’s those cash flows of course that will repay your business acquisition loans and financing!

A key concept around your deal is the equity component in the transaction. There has to be some reasonable equity in the combined firm, and that can come from your firm, the assets of the firm you are acquiring, or potentially some new equity and ownership participation.

So what can go wrong in a transaction like this? Well without the assistance or information we have spoken of, lots!

Timing is always a key component of your deal. The closing of your transaction can be driven by external deadlines, the deadlines imposed by the seller, or your own commitments to closing. Bottom line, leave enough time - it’s as simple as that.

A lot of transactions we look at have some huge ' gaps ' of missing information. To complete a proper purchase and financing a business acquisition properly with the right amount of loans, debt, etc requires all the missing pieces in the financial puzzle to be on the table.

So how can the acquisition be financed? There are some great and innovative strategies you can utilize to complete a deal successfully. They include and asset based lending scenario which monetizes the assets of the sellers firm. Smaller transactions under 350k can be efficiently handled via the Canadian CSBF loan program which has solid rates, terms and structures.

Business people need to remember also that you need to borrow enough to not only acquire the business, but to ensure you have the working capital and access to liquidity to grow the firm.

And since lease terms are available anywhere from 2- 7 years typically you keep on being the winner.

Secret # 3- In your kingdom of business, cash flow is king. We all know that .The drain on cash flow in your company can be offset by utilizing lease financing. Firms with good credit ratings can get great rates these days, and even firms that have credit challenges are able to take care advantage of ' structured ' transactions, allowing them to acquire the asset under perhaps a shorter term or higher monthly payment.

Secret # 4- The lease financing transaction typically is complimentary to your overall banking and debt strategy. Banks or other institutions might have what we call ' negative covenants ' about how you run you business from a financial ration perspective. Leasing can often address your other loan covenants with lenders in a positive manner, but we do caution business owners and financial managers to review their covenants prior to entering into a lease.

Avoiding Canadian Business Credit Nightmares. Banking And Bank Loans For Business In Canada

When it comes to
Canadian business credit and banking

in Canada (loans, credit lines, etc) it's more than a bit unfortunate that many business owners and financial managers view the process and the challenge as somewhat of a nightmare or at the very least a negative process.

Let's examine how you can turnaround that process with a viewpoint towards success. And let's hope we can get rid of some of that negativity also.

Secret # 1 - Choose a banker, not a bank. We don't think there is one important thing we could share on our subject other than that statement. A good (hopefully great) banker will become a great source of financial and business assistance.

So you've made your pick?! Now what? It’s critical that over time you gain the confidence and respect of that person, whether it’s a he or she. This can be achieved in a number of ways. Banks in Canada are focused on ' cash ' and ' cash flow ', so just supplying your banker with reasonable cash flow projections goes a long way to instilling confidence of the bank in your business.

That ' cash plan ' is simply a solid estimate of incoming and outgoing cash needs, with hopefully the bank bridging the gap.

A huge issue in Canadian banking (it’s not huge for the banks, but it sure is huge for our clients) is the whole area of personal guarantees. While the majority, if not all of bank credit in Canada for privately owned corporations mandates a guarantee we would point out that we see numerous cases of flexibility when in fact none seemed apparent.

That flexibility comes in the form of limiting the personal guarantee, or in some cases securing outside assets in lieu of the guarantee. We have seen cases where the bank waived the entire need for a ' PG ' (personal guarantee)... in general this is the exception, not the norm.

A simple summary of the entire PG situation is that assets and your personal credit history and situation will drive the final decision here. As Canada goes through different economic cycles banks seem to be either pulling in the reins or making an all our effort to make personal and business credit available. So it’s important for you to judge where the banks are in the cycle!

One way in which you can maximize the benefits of a solid bank relationship is to continually explore the ability of your banker to introduce you to other professionals that might assist your business. These might include lawyers, accountants, and Canadian business financing advisors.

Those intro's are worth their weight in gold in many cases, as these external advisors have not doubt proved themselves many times before as they established their own relationship with the bank.

What are bankers in Canada looking for when they look to extend Canadian business credit? It's not rocket science - they look for management depth, a solid busines model, what financing you have in place via debt or equity , as well has how you market and price your services or product.

A final note on bank loans in Canada? Unlike the U.S. which has hundreds, even thousands of different banks and even more independent non bank finance firms Canada's banking system is smaller. Clients who are bankable often focus on ' rates ' - in our opinion the rates will vary no more than some basis points from bank to bank.

Your focus should be on the banker, and the structure, terms, and guarantees surrounding your bank loans or credit lines. That saving of a couple basis points will be non existent in your mind when you get locked into a structure or guarantee or ratio and covenant scenario that you can't get out of.

A Tale Of Two Business Credit Facilities – ABL Asset Financing And Bank Revolving Secured Facility

Secured business credit via an ABL asset financing or a bank line of credit . It's absolutely a tale of two. We guess the book might be called ' A TALE OF TWO FACILITIES’! Let's examine some of the key differences and benefits and disadvantages of both an ABL asset line of credit and the better recognized bank secured business credit facility.

Both public and private companies in Canada feel the squeeze when it comes to achieving the right financing for their firms in the current economic environment. Both the business owner and his or her financial managers can be forgiven for being a bit confused on alternative methods of line of credit finance.

So should you be doing what everyone else seems to be doing, or should you strike out on your own with some solid investigation in alternative business models when it comes to lines of credit for Canadian business?

Let's look at what some of those key issues might be in considering alternatives, the ABL facility, and the Canadian chartered bank offering. Clearly in both cases you want to be able to ensure you can grow, not just survive in business.

Price is a factor also; you want to know the total cost when it comes to acquiring the right finance facility. Naturally relationships are important also, you want to be dealing with the right people, it’s as simple as that.

So lets take a first pass at asset based lending via an ABL facility. It is just a business credit facility secured by the assets of your company. Many firms that either cant raise bank financing, or, more importantly, cant raise the amount of financing they need from banks consider ABL. Hundreds of Canadian firms now use ABL finance as there preferred method of leveraging their assets for a credit line . Those assets are used to bridge the timing of cash in, and cash out in your business. ABL is available for companies of all size, from major public and private corporations, right down the pecking order to start ups. The facility fluctuates with the amount of asset that your firm generates, typically around A/R and inventory. Funds are typically managed through a blocked account - that simply means that you deposit all your inflows into one account, while your balances to reduce the line are managed through a separate account. It's not as complicated as it seems. Key benefits are higher margins on receivables and inventory.

The more traditional alternative to business credit via a secured facility is the Canadian chartered bank. Facilities are low cost and can be combined with term loans. Banks are cash flow lenders, the ABL facility tends to be asset based, not cash flow based. Your financial statements and current financial history will dictate whether your firm is more cash flow or asset oriented. Banks will look to what they call secondary forms of repayment and are highly regulated with their offerings. ABL lenders for asset financing tend to be independent commercial finance companies that are none regulated. It's a little known fact that many of the banks have small boutique divisions of ABL finance that in some ways compete with their peers in Commercial business credit.

Investigate both the ABL secured asset financing revolver, and the more traditional Canadian chartered bank line. Weight the benefits and potential disadvantages of both in coming up with your preferred method of business financing.
