SRED Financing - SR&ED Finance Loans in Canada











SRED Financing is your firm's ability to take immediate cash flow and working capital advantage of our SR&ED tax credit claim. This program, (formal name = Scientific Research and Experimental Development) is bar none the best tax incentive program in Canada. Other than being taxable as income the refund you receive from the government is a non repayable grant. What could be better than that?

The irony in this great program is simply that almost 70% of companies in Canada that are eligible for the program do not even apply, let alone receive their funds! It clearly is a source of untapped cash flow and working capital for your Canadian business that should be maximized to the hilt.

The other 30% of Canadian firms who use the program utilize it around their efforts to develop new products and services, building prototypes, and solving technological challenges.

So your Canadian controlled private company utilizes and files SRED filings. Did you know your claim can be financing immediately after you file it, literally the same day. Specialists that work as 'SR&ED consultants are experts in preparing your claim and in Canada your SRED claim can be prepared at your cost - and you keep all the proceeds of the government grant, or alternatively, your claim can be done on a contingency basis, at no cost to yourself, and the consultant usually keeps anywhere from 10-30% of the total refund received.

However most Canadian business owners and their SRED consultants do not know that your claim can be financing, either during the preparation of your claim, (yes, before your file, if you qualify!) or immediately on filing of your claim.

Generally with this type of financing you receive immediately approximately 70% of the value of your claim. The other 30% still comes back you of course, but its simply a bit of a buffer to cover financing costs and any risk that a portion of the claim will be disallowed or clawed back.

When we think in terms of specialty financing we can categorically state that SRED financing is specialty financing in Canada. We urge clients to locate a business financing advisor who has credibility, experience and background in this area.

The SRED financing process is not as complicated as you seem if you are well prepared and have access to good assistance. Its as simply as completing a basic business financing application, ensuring proper back up is in place and valid. That includes info on your company, the SRED claim itself, your previous SRED claims if you have filed previously etc.

The reality is that SRED financing can be completed within 2-3 weeks of starting the process. The beauty of this type of financing is that no payments are made on the SRED loan. In effect you can say that you have factored or discounted the SRED claim. You are simply waiting for your cheque from Ottawa, and are making use of the working capital and cash flow now. That's a solid interim financing strategy for many firms, and that cash can be used for reduction of payables, investments in new equipment, additional staff, etc. The bottom line = any general worthwhile corporate purpose.

In summary, of course ensure you are taking advantage of Canada's Sr&Ed program. Once that is the case you have the option of financing your claim, allowing you to maximize the true benefits of the program, i.e. the recovery of your R&D expenses in the most time efficient manner possible. That's a solid financial strategy.

SR&ED Financing, (also often pronounced ' SRED Financing' ... we'll use the term interchangeably ) is a tremendous way for Canadian firms to monetize their research and development tax credit claims in order to generate additional cash flow and working capital for their business .


It is of course common sense that to finance a claim and get funds now you have to have a claim filed! Canada's sred program and absolutely one of the most positive, beneficial and proactive non repayable grant programs that exists in Canada, bar none.


Over the years we have met with many clients who, unfortunately, haven’t even heard of the program, at that same time for years they have been allocating considerable funds to research and development in manufacturing, software creation, etc. We say software for a specific example, because in many ways it is one of the most obvious areas for sred, and your ability to generate a sred loan against software development is virtually almost guaranteed. But our point simply is that any R&D you do probably can be assessed for research and experimental development - That’s where the acronym comes for Scientific Research and Experimental Development = S R E D!


Many professionals in the SRED area advise our clients that out of the several billion dollars that the government hands out now for the program that almost twice as much remains unclaimed by Canadian business simply for the fact that firms have not heard of the program . One of the key cornerstones of the program is the term ' uncertainty ' - if your firm is working on products, processes etc and is unsure of the final result , and funds are expended against that research then clearly that’s SRED !


Well up to this point we have talked about the program, detailed when it is available, now let’s focus on generating cash for our R&D expense.


You have two options after you have prepared a sred claim and filed it. They are not very complex options:


1. You can wait for your technical audit, financial audit and the government cheque, which will of course arrive many months down the road. If it is your first filing the process will take quite a bit longer.


2. You can finance, or ' discount' - we can even call it ' factor ' your sred to generate a sred loan for immediate working capital.


SRED Loans can be generated immediately after the filing of your claim. Many of our clients actually start the financing process earlier, and the reality is that funds could be advanced exactly at the time of filing. Many firms are very surprised to hear that in certain circumstances you are actually eligible to receive funds during the year, prior to filing - We have termed this process as ' accrual sred financing ‘. A few more criteria are attached to this process, but isn’t it a great idea to know that your R&D could be funded along the way as you dispense your own capital for the projects.


'Whats involved in a SR&ED financing'? Clients ask. To keep things simply we simply advise that they should view a sred financing in the same manner they view and business financing or working capital financing application. It’s a clear defined process which is as follows:


- Prepare a SRED claim (more often than not with the help of an external consultant)

- File the Claim

- Complete a business financing application


It's as simple as that. Typical back up documentation and due diligence that you would associate with any financing of your firm applies.


Oh, and a final question we always get - How much can I get and how do payments work. The good news is typically there are no payments made, you get usually around 70% of the claim value on approval, and the balance could be called a holdback or buffer. When your cheque is processed by the government and the grant is mailed to you the additional 30% is of course released, less the financing charges.

A SR ED funding loan has been a key advantage of business owners & financial mgrs. who take advantage of Canada's SR&ED program. The prompt receipt of your R&D capital tax credit is quite often a key part of your overall cash flow strategy. While it’s not quite the ‘speed of light ‘
it’s still quicker than almost all other loans in business. We're covering off some key SR&ED financing basics - let's dig in.

Most of our clients, as sophisticated as they might be in their sred filings actually also haven't heard that in certain cases your sred can be considered for financing. In fact the majority of claims are prepared by third parties called ' SR&ED Consultants ' who in many cases focus only on claim prep not claim financing.

Even more important is that claims can also be finance PRIOR to filing - That whole process is called SR&ED accrual financing.

What then are your ' must knows' when it comes to SR ED funding?


1.
SRED is highly specialized - seek and work with a trusted, credible an experienced consultant to prepare your claim, as well as a credible business financing advisor to fund your claim immediately.

2.
The only thing you need to know about financing a claim is that you must have a claim! It is a simple business financing application with supporting back up on your Sr&Ed - your actual refund is the key collateral in the claim.

3.
SRED's are financed at 70% of your total claim value

4. You can finance a claim as soon as it is filed; starting earlier simply accelerates the process. And remember, you can opt to finance prior to filing under accrual filing. It kind of like a SR ED line of credit.

5. We refer to a SRED ' loan ' - the reality is that no additional debt is added to your balance sheet, because the loan is offset by the asset, the claim itself! You are simply monetizing, or ' cash flowing ' your claim.

As you can see by now the whole process of a SR&ED Finance is simply the financing or' factoring 'of your claim. You are selling your right in the receivable now in lieu of cash that you will receive from the government many months from now, in some cases close to a year.

5 key basics.
As we noted Sr&Ed funding is specialized. Work with an expert for two reasons - maximizing the value and finance rate on your transaction, as well as ensuring the whole process goes smoothly. You should not view the sred loan process any differently than you would any other financing, you apply, you provide supporting back up, and you receive your funds after the normal sort of due diligence. The collateral, if we can call it that, is the SR&ED claim itself.

With respect to # 2 simply focus on the fact that you should consider financing the claim if it will generate a reasonable amount of working capital and cash flow that you need today. To be honest most claims that are financed are in the 100k ++ range, but smaller claims can be effectively financed

Point #3 had us referring to loan to value - you can expect to receive an immediate advance on approx 70% of your claim - that the combo of the federal and provincial component. The balance is a holdback - it’s still your money, but final financing costs, plus any adjustments the government makes to your claim are accounted for in that 30% buffer that is held back by the lender.

"When can be obtaining our funds "is really the meaning of our 4th point. The entire process takes approx 2-3 weeks as it covers your application, review of your sred, normal financial due diligence, and the clarification of any issues raised by your firm or the sred finance firm . And the good news here is that again the term ' sred funding loan' is a misnomer, you don't make any payments, and finance charges simply accrue and are deducted from the final accounting of the claim. That covers our 5th point of course.

Bottom line - if you're a user of the SR&ED program consider a sred funding to solve that challenge of cash flow/working capital tied up in your R&D capital investments.

SRED Credits ? Sweating bullets is one of our favorite expressions for some serious worrying. That surely must be the case for thousands of Canadian firms and the industry consultants who file SRED (SR&ED) claims in Canada for their non refundable tax credit monies for their R&D processes.

We're not going to weigh in on whether this tax credit program is justified, not justified, or who screwed things up in the past , but we will say one thing - Your Sred financing is still alive and well! In fact in some ways it just got better, and we'll talk about that also.

Thousands of Canadian firms receive a total of billions of dollars every year from the Government of Canada for their research and development costs. A large portion of their total costs in several categories of R&D, i.e. labor, comes back to them in the form of a refundable cheque.

Naturally getting monies back for your SRED claim is a huge and positive issue for thousands and firms who are either start up, pre revenue, or who simply... you guessed it... need the cash. Many of our clients actually book the claim they file as a receivable, in effect non refundable monies coming back into their company .The claim is, of course, a combination of funds from both the federal and provincial government. Sred claims are separate from other grants and schemes such as IRAP, etc.

So, getting back to the one thing we want to emphasize today, and that’s ' cash flow '! Naturally it’s a free country and if you want to wait to get your funds back from the government by all means do that. But consider also that you have another option, which is to finance your claim. In Canada SRED claims of almost any size can be financed. While larger claims make more economic sense claims generally in the 80k and higher range certainly are financeable.

So how does the financing work? You should consider this as quite a ' normal ' business financing. (Is any business financing normal these days?!) . The basic application involves info on your firm such as your financial, projections, etc, info on the owners, and copies of the actual claim itself.

SRED claims have tended to be prepared by a group of people in Canada who term themselves SRED consultants. They work on either a contingency basis or a fee basis. We've been watching the SRED battle from a distance and some people are making the claim that the sred consultants themselves have become a part of the problem in the industry.

Let’s use 2 Billion dollars an example. If the federal government gave out 2 Billion dollars it’s the SRED consultants who worked on contingency that receive anywhere from 15- 30% of all these funds as fees. That makes a case for not a lot of value for the country from a pure R&D perspective. Anyway, we promised not to weigh in on that one, so we won’t.

What we are saying is that if your claim is properly prepared, by either yourself or a qualified sred consultant then it’s financeable.

SRED Financing claims are financed at, in general 70% loan to value. We spoke of new developments in the industry as far as financing the sred credit .The good news is that most claims are now financeable as your spend, prior to filing, This is called Accrual sred finance, and gives you cash flow reimbursement as you spend .

Is there a bottom line today? As always, there is. It’s simply that we kind of hope the sred program stays around for all those legitimate firms and consultants who see the true value of the program. And consider financing your tax credit for increased working capital and cash flow.
